Summary of transaction: | PART 5 The Applicants Chartered Semiconductor Manufacturing Ltd Description of the merger The notification is in relation to an acquisition of one hundred percent of the shares in the Target, which provides foundry services in the semiconductor foundry market. The acquisition will not infringe the section 54 prohibition as the acquisition will not lead to a substantial lessening of competition in Singapore or any market. This is because, firstly, any resulting increase in market share of the Acquirer as a result of the acquisition will be negligible. Secondly, the market for the provision of foundry services is a very competitive one globally. In short, the acquisition will allow the Acquirer to increase capacity in production in a highly competitive global market without impeding competitive processes in any market. Relevant good(s) or service(s) involved The relevant product is the provision of foundry services to semiconductor companies and Integrated Devices Manufacturers (“IDMs”) globally. |
Decision: | The proposed merger, if carried into effect, will not infringe the section 54 prohibition. |
