1. The Applicants
This notification is made jointly by the acquirer, Prudential plc (“Prudential”) and the acquired person, AIA Group Limited (“AIA”).

2. Description of the Merger
This notification is in relation to the anticipated acquisition by Prudential, through Prudential Group plc (formerly named Petrohue (UK) Investments Limited), of 100 per cent. of the issued share capital of AIA pursuant to a Share Purchase Agreement. Prudential and AIA submit that given the strong competitors in the market, the factors for the ease of entry and expansion, high level of supply-side substitutability and other competitive characteristics of the relevant market, the acquisition when carried into effect, will not result in a substantial lessening of competition in the relevant market.

3. Relevant good(s) or service(s) involved
The provision of insurance products in the life insurance business in Singapore.
