Summary of transaction: | PART 5 1. The Applicants This notification is made by the acquiring party, SATS. 2. Description of the proposed acquisition This notification is in relation to the acquisition of all the issued ordinary shares in the capital of Singapore Food Industries Limited (“SFI”) by SATS. 3. Applicants’ competitive assessment of the proposed acquisition SATS submits that given the large number of competitors in the market, the low barriers to entry and expansion, nature of demand, extent of buyer power, non-homogenous products and other competitive characteristics of the reportable markets, it would be difficult, post-merger, for the merged entity to engage in any non-coordinated or coordinated bahaviour. Accordingly, the acquisition, when carried into effect, is unlikely to result in a substantial lessening of competition in the reportable markets. 4. Relevant product(s) and service(s) involved SATS submits that the relevant good(s) or services(s) for the purposes of this notification are: - contract food services; |
