CCCS Consults on the Proposed Merger between Hino Motors Limited and Mitsubishi Fuso Truck and Bus Corporation

1. The Competition and Consumer Commission of Singapore (“CCCS”) is inviting public feedback on the proposed merger between Hino Motors, Ltd. (“Hino”)[1] and Mitsubishi Fuso Truck and Bus Corporation (“MFTBC”)[2](“Proposed Transaction”).
2. On 4 July 2025, CCCS received an application from the Parties[3] on the Proposed Transaction. CCCS is now assessing whether the Proposed Transaction may result in a substantial lessening of competition within any market in Singapore.
The Parties
Hino
3. Hino is a listed company on the Tokyo Stock Exchange and the Nagoya Stock Exchange. Hino currently distributes and supplies the following goods in Singapore exclusively via Borneo Motors (Singapore) Pte. Ltd: light commercial vehicles (“LCVs”), medium duty trucks (“MDTs”), heavy duty trucks (“HDTs”) and, spare parts and after-sales services.
MFTBC
4. MFTBC is a private company, incorporated in Japan and majority owned as well as solely controlled by Daimler Truck AG. MFTBC distributes and supplies the following goods in Singapore via Goldbell Engineering Pte. Ltd.: LCVs, MDTs, HDTs, buses, spare parts and after-sales services, and industrial engines.
Economic Activities of the Parties in Singapore
5. The Parties submitted that they compete in the market for:
a) MDTs (weighing 5 to 16 tonnes); and
b) HDTs (weighing more than 16 tonnes).
(collectively, the “Relevant Markets”).
6. For completeness, the Parties also submitted that they do not compete in the supply of LCVs (weighing up to 5 tonnes) in Singapore.
Public Consultation
7. CCCS is inviting public feedback on the Proposed Transaction from 14 July 2025 to 5 pm on 28 July 2025. CCCS is interested to hear views on the impact of the Proposed Transaction on competition. Public feedback can be provided via the official online form, or by emailing us at cccs_consultation@cccs.gov.sg. If the submission or correspondence contains confidential information, please also provide CCCS with a non-confidential version of the submission or correspondence.
