The Applicants
This notification is made jointly by Nippon Steel Corporation (“NSC”), and Sumitomo Metal Industries, Ltd. (“SMI”) (collectively, the "Parties") for the integration of their entire businesses (the “Merger”).

Description of the merger
This notification is in relation to the integration of the entire businesses of NSC and SMI. The Parties submit that given the intense nature of competition in the market, strong countervailing buyer power of customers, low barriers to entry, and other competitive characteristics of the relevant markets, the notified Merger will not result in a substantial lessening of competition.

Relevant good(s) or service(s) involved
The markets in Asia, at the narrowest, for the supply of:
(i) seamless steel pipes;
(ii) seamed steel pipes;
(iii) H-beams;
(iv) plates;
(v) hot-rolled steel sheets;
(vi) cold-rolled steel sheets;
(vii) galvanised steel sheets; and
(viii) retaining structures.

Decision

The proposed merger, if carried into effect, will not infringe the section 54 prohibition.
