The Applicants
This notification is made jointly by the acquirer, Johnson & Johnson (“J&J”) and the acquired person, Synthes, Inc. (“Synthes”) (collectively the "Parties") for the proposed acquisition by J&J of all the voting securities in Synthes (the “Acquisition”).


Description of the merger
This notification is in relation to the acquisition by J&J of all of the voting securities in Synthes. The Parties submit that given the intense nature of competition, strong countervailing buyer power of customers, low barriers to entry, and other competitive characteristics of the relevant markets, the notified Acquisition will not result in a substantial lessening of competition.


Relevant good(s) or service(s) involved
The markets for the supply of: (i) spine devices; (ii) trauma devices; and (iii) bone graft substitutes.

Decision:

The proposed merger, if carried into effect, will not infringe the section 54 prohibition.
